Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the Turnkey Peptides platform, websites, storefronts, and services (collectively, the “Services”), operated by Turnkey Peptides (“Turnkey,” “we,” “us”). By accessing the Services, creating an account, booking a consultation, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

All products offered through the Services are sold strictly for laboratory research use only (RUO). They are not drugs, foods, dietary supplements, cosmetics, or medical devices, and they have not been evaluated or approved by the U.S. Food and Drug Administration or any other regulatory authority for any use.

• Products may not be used for human or animal consumption, injection, or other administration to humans or animals, nor for diagnostic, therapeutic, clinical, agricultural, household, or cosmetic purposes.
• By purchasing, you represent that you are a qualified purchaser acquiring products solely for lawful in-vitro research conducted by trained professionals, and that you possess the knowledge, facilities, and equipment to safely handle research chemicals.
• You are solely responsible for confirming that your purchase, possession, handling, and use of any product is lawful in your jurisdiction.
• We make no claims — express or implied — regarding any health, wellness, or medical benefit of any product, and no statement on the Services may be interpreted as such a claim.

We reserve the right to refuse or cancel any order, and to suspend any account, where we believe products may be diverted to non-research use.

You must be at least 21 years of age and legally capable of entering into binding contracts to use the Services. The Services are intended for business and professional research use. By using the Services you represent that all registration information you provide is accurate and that you will keep it current.

Portions of the Services allow approved operators (“Operators”) to build and run white-label research-product storefronts fulfilled through our platform. Operator participation is subject to application, consultation, and approval, and may be subject to additional written agreements. As an Operator you agree that:

• You will operate your storefront in compliance with these Terms, applicable law, and all platform policies, including all RUO restrictions in Section 2;
• You will not make, publish, or imply any human-use, therapeutic, or medical claims in your branding, marketing, or customer communications;
• You are responsible for the accuracy of your brand content and for your conduct toward your customers;
• Payouts, reserves, refunds, and chargebacks are handled per the platform's payout and reserve policies communicated to you in the operator dashboard, which may be updated from time to time. We may hold reserves against refunds and chargebacks, adjust reserve rates based on account risk, and delay, pause, or suspend payouts while disputes, negative balances, or compliance reviews are outstanding. Negative balances may be recovered from future proceeds or reserves;
• You will complete identity, business, and payout-account verification when requested, and keep that information current;
• Turnkey hosts and operates all storefront infrastructure and retains the operational control needed to host, manage, review, update, suspend, or remove storefronts and storefront content, including required RUO disclaimers and policy pages, to keep the platform compliant;
• We may suspend or terminate storefronts that violate these Terms, applicable law, or payment-network rules.

All orders are offers to purchase and are subject to acceptance. We (and Operators) may refuse or cancel orders, including for suspected non-research use, pricing errors, or fraud screening. Prices, availability, and product specifications may change without notice. Payment is processed by third-party payment processors; we do not store full card numbers. Taxes, duties, and shipping charges are your responsibility unless stated otherwise at checkout.

Title and risk of loss pass to you upon delivery of products to the carrier. Because of the nature of research materials, products are not returnable once shipped except as required by law or expressly stated in the applicable storefront's policy. Claims for damaged, defective, or missing items must be reported within 7 days of delivery.

Certificates of analysis and other documentation available through the Services are provided for research reference only. They are not a warranty of merchantability or fitness for any purpose and do not modify Section 2 or Section 10.

• Using any product for human or animal use of any kind;
• Reselling products for non-research purposes or to unqualified purchasers;
• Misrepresenting your identity, qualifications, or intended use;
• Interfering with the Services, attempting unauthorized access, scraping, or introducing malicious code;
• Using the Services in violation of any law, regulation, or third-party right, including payment-network rules;
• Making or implying medical, therapeutic, or cosmetic claims about any product.

The Services, including software, design, text, and trademarks, are owned by Turnkey or its licensors and are protected by intellectual-property laws. Operators retain ownership of their own brand assets and grant us a license to host and display them for the purpose of operating their storefronts. No rights are granted except as expressly stated in these Terms.

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURNKEY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS. MISUSE OF ANY PRODUCT — INCLUDING ANY HUMAN OR ANIMAL USE — IS ENTIRELY AT YOUR OWN RISK, AND YOU ASSUME ALL LIABILITY ARISING FROM SUCH MISUSE.

You agree to defend, indemnify, and hold harmless Turnkey and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services or any product, including any use contrary to Section 2; (b) your violation of these Terms or applicable law; or (c) for Operators, your storefront, brand content, and dealings with your customers.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct we believe violates these Terms or applicable law, or to protect the Services or other users. Sections 2 and 8 through 15 survive termination.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of these Terms or the Services is the state or federal courts located in Florida, and you consent to personal jurisdiction there. To the extent permitted by law, each party waives any right to a jury trial and agrees claims may be brought only on an individual basis, not as a class or representative action.

We may update these Terms from time to time; the effective date above reflects the latest revision, and continued use after changes constitutes acceptance. If any provision is found unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy and any operator agreements, are the entire agreement between you and Turnkey regarding the Services. Our failure to enforce any provision is not a waiver.
